1. Agreement to Terms

Welcome to Quantomax.AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Quantomax AI Inc. ("Quantomax," "we," "us," or "our") governing your access to and use of the Quantomax.AI platform, website, and services.

By creating an account, accessing, or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Quantomax.AI is an AI-powered display ad generation platform for small businesses. We provide:

• AI-generated display ads built automatically from any business URL
• An auto-generated SEO blog article paired with each ad
• Hosted ad landing pages on quantomax.ai with click tracking
• Google Maps, click-to-call, and click-to-email integrations on every ad
• Automatic indexing via IndexNow and Google ping for fast discovery
• Two subscription tiers: Standard and Premium (front-page placement)

Services are provided on a monthly or annual subscription basis as described on our pricing page.

3. Account Registration

To use our services, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account

You may not share your account credentials. Each account is for a single user or business owner.

4. Subscription Plans and Payment

4.1 Subscription Tiers

We offer two tiers, each available in monthly or annual billing:

• Standard — $49/month or $490/year
• Premium — $99/month or $990/year (includes front-page placement and premium badge)

All plans include a 14-day free trial. Current pricing and features are always listed on our pricing page and take precedence over any older references.

4.2 Billing

Subscriptions renew automatically at the interval you selected (monthly or annual) until cancelled. By providing payment information through Stripe, you authorize us to charge your payment method for all fees associated with your subscription.

4.3 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period, and your ad will be unpublished at that time. Apart from the 30-Day Money-Back Guarantee below, we do not provide refunds for partial months or unused days within an annual term.

30-Day Money-Back Guarantee. If you are not satisfied, email [email protected] within 30 days of your first paid charge (after any free trial) and we will refund that first payment in full. The guarantee applies once per business and to the first payment only.

4.4 Veteran Discount

We offer a 25% discount for verified military veterans and active service members via the VETERAN25 coupon code applied at checkout.

5. Acceptable Use

You agree to use our services only for lawful purposes. You may NOT:

• Submit URLs or content that infringe the rights of others
• Violate any applicable laws, including CAN-SPAM, GDPR, CCPA, or TCPA
• Use the platform to publish adult, hateful, misleading, or illegal content
• Attempt to reverse engineer, scrape, or extract our platform
• Use automated systems to sign up fraudulent accounts
• Interfere with or disrupt the platform or our servers
• Impersonate others or misrepresent your business affiliation

Violation of these terms may result in immediate termination of your account and removal of your ad without refund.

6. Your Content

6.1 Content You Submit

When you submit a URL, we automatically scrape your public website to build your display ad — extracting text, images, videos, logos, and contact details. You represent that you own or have permission to publish all content at the URL you submit, and you grant us a license to use that content to create, publish, and maintain your display ad while your subscription is active.

6.2 Ad Accuracy

We use AI to generate ad copy and an SEO article. You are responsible for reviewing your ad for accuracy before publishing and for editing it whenever your business information changes.

7. Intellectual Property

The Quantomax.AI platform — including its design, features, underlying algorithms, and software — is owned by Quantomax AI Inc. and protected by intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the platform according to your subscription tier. This license does not include:

• Rights to resell or redistribute our services
• Ownership of any proprietary technology or algorithms
• Rights to use our trademarks, logos, or branding without permission

8. Disclaimers and Limitations

8.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee any specific traffic, search ranking, or business outcome.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTOMAX AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Quantomax AI Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Conduct that harms other users or our platform

Upon termination, your right to use the services will immediately cease and your display ad will be unpublished.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
